Why agreement comes before structure

Entrepreneurs often begin a private-business search by asking, “Which structure should I use?”

LLC? PMA? Trust? Club? Something else?

That question arrives too early.

Before choosing a structure, define the relationship the structure is supposed to support.

That means agreement comes first.

A structure needs a job

A structure should exist because it performs a defined function.

Maybe it holds property. Maybe it supports administration. Maybe a genuine membership relationship exists. Maybe an entity is deliberately retained for a public interface. Maybe no structure is needed at the center at all.

Without knowing the job, choosing the structure becomes guesswork.

Begin with the actual exchange

Ask who is doing the work, who is receiving the benefit, what is being offered, what property or value is being exchanged, what compensation will be received, what responsibility each side accepts, how the relationship can change or end, and what records should exist.

Those are agreement questions.

Why a PMA is not a default

A private membership association belongs where there is genuine membership.

If the real relationship is simply a one-time service exchange, calling the recipient a member does not necessarily create a meaningful membership relationship.

That’s why PMA should not be treated as the universal private-business structure.

Why an LLC is not automatically the activity

An LLC may be useful.

But the entity is not automatically the activity.

The real activity is the work being done, the value being offered, the agreements being made, the compensation being received, and the responsibilities being carried.

Agreement also disciplines the records

Once the agreement is clear, the evidence becomes clearer.

Why did money arrive? What was delivered? Which agreement applied? What records should connect the payment to the exchange?

A structure does not answer those questions. The agreement does.

Structure follows function

Privatepreneur uses a simple rule:

Agreement before structure. Function before form.

That does not mean structure is unimportant. It means structure should be chosen after the relationship is understood.
